The Business Law Department of the Faculty of Law, Universitas Gadjah Mada, attended an invitation from PT Pertamina International Shipping (PIS) to speak at the 2025 Legal Preventive Program, themed “The Roles, Authorities, and Legal Relationships of Holding Investment and Holding Operational toward Pertamina under the SOE Law.”
The event was held on Wednesday, 12 November 2025, at the Function Hall, 6th Floor, Oil Centre, Central Jakarta, and featured a speaker from the Business Law Department of FH UGM. The session was delivered by Prof. Dr. Sulistiowati, S.H., M.Hum. (Professor of the Faculty of Law UGM) as the main speaker and moderated by Ika Kartika Ekawati, Manager of Legal Contract & Planning at PIS.
In her presentation, Prof. Sulistiowati delivered an analysis of the changes in the structure and governance of State-Owned Enterprises (SOEs) following the enactment of Law Number 16 of 2025 concerning the Fourth Amendment to Law Number 19 of 2003 on State-Owned Enterprises, as well as its implications for the position of Pertamina Group and PT Pertamina International Shipping (PIS) within the holding structure under the management of the Daya Anagata Nusantara Investment Management Agency (BPI Danantara), Holding Investment, and Holding Operational.
Prof. Sulistiowati also conveyed several recommendations for Pertamina Group and, more specifically, for PIS, including the formulation of a Group Charter and the enhancement of Good Corporate Governance (GCG). The presentation further emphasized the importance of strengthening governance and mitigating risks through the application of the Business Judgment Rules (BJR), integrated risk management, and clearly defined accountability chains.
The Legal Preventive Program concluded with an interactive question-and-answer session, followed by the handover of mementos to the speaker by the Chief Legal Counsel of PIS, Yosi Ardilla.
Through its participation in this program, FH UGM also supports the achievement of the Sustainable Development Goals (SDGs). First, SDG 4: Quality Education, by disseminating applicable legal knowledge to strategic industries. Second, SDG 8: Decent Work and Economic Growth, by encouraging the strengthening of sustainable corporate governance and enhancing professionalism within BUMN management. Third, SDG 16: Peace, Justice, and Strong Institutions, by contributing to the development of regulations and institutional practices that are transparent, accountable, and grounded in sound legal principles. Thus, FH UGM’s involvement in the PT PIS Legal Preventive Program represents its commitment to strengthening legal integrity and sustainable governance within state-owned enterprises.
