It examines the philosophical dimensions of law by addressing fundamental questions, such as what law is, the role and function of law, and how legal systems operate. To address these questions, the course introduces major schools of legal thought, including Natural Law, Legal Positivism, Legal Realism, and Critical Legal Studies. These schools of thought examine the definition of law, the role and function of law, and the way legal systems operate. The theoretical aspects of law are further explored through discussions of the relationship between law and issues such as justice, morality, and legitimacy. In addition, several key legal concepts are discussed, including the rule of law and legal personality.<br \/><\/span><br \/><\/b><\/li><li style=\"text-align: justify\"><b>Law, Politics and Social Change (2 Credits)<br \/><span style=\"font-weight: 400\">This course provides knowledge of the interaction between law and politics in the governance of a state and their influence on society. More specifically, the course focuses on the definitions and correlations between legal politics and legal studies, the scope and elements of law and politics, and how law functions in social life. It also examines the process of law-making as a result of political maneuvering as well as a social phenomenon, leading to social change and influencing the development of law.<br \/><\/span><br \/><\/b><\/li><li style=\"text-align: justify\"><b><b><b>Thesis Proposal (2 Credits)<br \/><span style=\"font-weight: 400\">This course equips students with the oral and written skills necessary to describe a thesis topic based on a structured problem, solution, and research methodology, prepared and guided by a thesis supervisor. Students are expected to understand various issues related to topics in the field of business law and to apply technical and writing skills to identify problems and conduct literature reviews to develop solutions. Students will also apply legal research methods to formulate solutions based on research problems and objectives, as well as design academic papers and final assignments that meet the requirements of a thesis. The topics covered include the basic identification and formulation of legal problems, determination of research objectives and limitations, selection of appropriate legal research methods, and formulation of a legal research plan.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Thesis Result and Seminar (2 Credits)<br \/><span style=\"font-weight: 400\">This course addresses important questions related to master&#8217;s thesis writing, including academic writing and the process of identifying realistic research problems through the selection of appropriate academic sources and literature. Students will prepare a project description and present their drafts for discussion in a seminar. The course is intended to provide insights into scientific theories and methods relevant to interdisciplinary research, with the aim of identifying a viable project topic for a master&#8217;s thesis. By the end of the course, students are expected to have completed a project description and progress plan, identified research problems, participated in discussions on theories and methods, and gained an overview of the history of research as well as sufficient knowledge of relevant source categories and reference literature.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b>Thesis Writing and Defense (6 Credits)<br \/><span style=\"font-weight: 400\">This course equips students with the knowledge and skills required to conduct high-quality legal research. Students will study various research methods and techniques, select relevant and meaningful research topics, and conduct literature reviews to understand the current state of knowledge relevant to their research needs. Using the STAR (Student Teacher Aesthetic Role-Sharing) method, the course is delivered interactively through lectures, discussions, case analysis, and presentations. Students will study the fundamental concepts, principles, and sources of IP law, as well as its role in promoting innovation across various sectors, including the creative industries, technology, and science. The course also examines contemporary challenges in IP protection, such as plagiarism, pharmaceutical patents, and the protection of cultural expressions and traditional knowledge. Through a holistic approach, the course provides insights into how IP contributes to the development of an innovation ecosystem that influences social, economic, and cultural development in Indonesia.<\/span><\/span><\/span><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Banking and Finance Law (3 Credits)<br \/><span style=\"font-weight: 400\">Comparative Banking Law examines the theories, doctrines, and legal norms governing financial institutions and financial markets, both domestically and internationally. The main focus includes a comparison of Indonesia&#8217;s banking legal system with those of other countries, such as the United States, the United Kingdom, the Netherlands, and Singapore. Students will study the role of central banks, banking principles, lending regulations, banking soundness, and the role of central banks in crisis situations. In addition, the course highlights the international dimensions of trade and investment involving complex legal relationships between states. Students will explore private-law issues arising from cross-border trade, as well as the influence of public international law on trade policies, regional frameworks, and global financial regulation. Topics also include retail financial markets, including access to credit for households and MSMEs, which serve as major drivers of economic activity. Using case studies from Europe, North America, and Asia, students will analyze financial contract regulations, banking liability, disclosure requirements, and debt mitigation principles. The course aims to provide a comprehensive understanding of global financial regulation and the important role of the banking sector in economic stability, including the legal implications of economic crises such as COVID-19 and the Cost-of-Living Crisis. By the end of the course, students are expected to be able to evaluate banking law policies and propose innovative solutions for the governance of increasingly complex financial markets.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Capital Market Law (3 Credits)<br \/><span style=\"font-weight: 400\">CML is a course that examines banking and capital market regulations across various jurisdictions through a comparative approach, with a focus on the Indonesian legal system and the legal systems of other countries, such as the United States, the United Kingdom, Hong Kong, and the European Union. Students will study the structure and regulation of capital markets, including the IPO process, material and affiliated transactions, insider trading, and market manipulation. The course also highlights the integration of capital markets in the European Union through deregulation and re-regulation, as well as investor protection under regulations such as MiFID II and UCITS. In addition, international trade is examined in relation to private and public international law, including the role of the WTO and investment dispute settlement mechanisms. Through a multidisciplinary approach, the course provides a comprehensive understanding of global financial market regulation and the legal challenges associated with international trade.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>International Trade Law (3 Credits)<br \/><span style=\"font-weight: 400\">International Trade Law explores the principal laws and rules underlying international trade, which constitute an important foundation for almost all countries in managing cross-border trade and investment. In an increasingly interconnected global economy, complex legal relationships are necessary to facilitate the cross-border trade of goods and investment while addressing the challenges arising from interactions among different legal systems. The primary focus of the course is on three pillars of international trade law: the World Trade Organization (WTO), Foreign Direct Investment (FDI), and Intellectual Property (IP). The course also examines private and public international legal issues arising from cross-border trade, as well as the international and regional legal frameworks supporting it. Through a combination of theory, case studies, and analysis of international agreements, students are expected to develop an understanding of the legal framework of international trade that influences global business.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Corporate Law (3 Credits)<br \/><span style=\"font-weight: 400\">Comparative Corporate Law covers the theories, doctrines, and legal norms of corporate law in several countries around the world. In addition to understanding Indonesian Corporate Law, students are encouraged to study and compare it with the corporate legal systems of the United States, the United Kingdom, and the Netherlands. Topics covered in the course include types of corporations, corporate organs and governance, corporate actions, corporate liability, and corporate crime. By the end of the course, students are expected to master the theories, doctrines, and legal norms of Corporate Law in Indonesia, the United States, the United Kingdom, and the Netherlands.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Comparative Competition Law (3 Credits)<br \/><span style=\"font-weight: 400\">This course provides a comprehensive study of the key features of competition law by comparing competition law in Indonesia with that of other jurisdictions, such as the United Kingdom, the European Union, and the United States. The first part of the course examines the history and objectives of competition law. The course discusses various aspects, beginning with the historical development and objectives of competition law. This section considers the role of economic analysis and its limitations in light of non-economic considerations. The course then examines key substantive areas, such as restrictive practices, monopoly regulation, dominant positions, distribution agreements and cooperation, and merger control. Finally, the course addresses the enforcement of competition law from both public and private perspectives.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Business Law Seminar (3 Credits)<br \/><span style=\"font-weight: 400\">This course is designed to provide students with an in-depth and comprehensive experience in researching, analyzing, and presenting topics relevant to business law through an interactive seminar format. In this seminar, students will take an active role as presenters. The process will involve intensive guidance from lecturers who will act as facilitators and mentors, providing direction and constructive feedback, particularly during seminars where lecturers will guide the discussions. Each student will have the opportunity to select a topic that corresponds to their interests and expertise in the field of business law. The presentations will provide students with an opportunity to share their knowledge with fellow students and lecturers, as well as receive valuable feedback to improve their written work. Students who are not presenting are also expected to actively participate in engaging discussions by asking relevant questions, providing constructive comments, and sharing different perspectives, which will help deepen their understanding of the topics discussed.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Commercial Tax Law and Policy (3 Credits)<br \/><span style=\"font-weight: 400\">This course examines the taxation system in Indonesia, including its important role in government financing and public policy, such as income distribution and economic activity. The design of tax policy is complex and involves a combination of economic, social, legal, accounting, and administrative policies, particularly in the context of global capital and labor mobility. The course also examines corporate and shareholder taxation, including rules on share taxation, corporate distributions, imputation systems, and related regulations. Students will study the principles, objectives, and key concepts of tax policy; the main tax bases in Indonesia; tax reform issues, including revenue adequacy, economic efficiency, social equity, and administrative simplicity; the interaction between tax and transfer systems; the potential of tax systems to achieve environmental objectives; and corporate and shareholder taxation in greater depth, including the tax treatment of capital contributions, debt-equity classification, imputation systems, dividends, franking credits, and other corporate transactions.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b><b><b>Bankruptcy and Suspension of Debt Payment Obligation (3 Credits)<br \/><span style=\"font-weight: 400\">This course examines the enforcement of monetary judgments against individuals and the management of insolvent estates. The course aims to enable students to understand and analyze the applicable laws governing creditors&#8217; rights and bankruptcy in general, as well as to consider issues related to advising debtors or creditors, including matters concerning bankruptcy claims, the filing of claims, avoidance, and reorganization. In addition, students will understand the basic transactional processes involved in pursuing creditor claims and bankruptcy, and apply fundamental business concepts in accounting, finance, and economics relevant to understanding bankruptcy.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b>State-Owned Company Law (3 Credits)<br \/><span style=\"font-weight: 400\">This course examines the legal framework governing state-owned companies, such as State-Owned Enterprises (SOEs) in Indonesia. Students will study the principles contained in the laws governing SOEs and their implementing regulations, including aspects of Good Corporate Governance, such as transparency, accountability, responsibility, independence, and fairness. The course also examines the role of law in promoting synergy and collaboration among SOEs, including the importance of consistent legal interpretation and responses to strategic and operational legal issues. Topics covered include dispute resolution, contract management, and regulatory compliance. The course is designed to enable students to understand the position of land tenure systems within society and to explain the concept of ownership and its implications within the Indonesian legal context. In addition, students are expected to be able to assess, respond to, agree with, or disagree with analytical findings concerning land and property disputes.<\/span><\/b><\/b><\/b><p>\u00a0<\/p><\/li><li style=\"text-align: justify\"><b>Energy Law (2 Credits)<br \/><span style=\"font-weight: 400\">This course examines the complex global regulations and governance of energy resources, including the legal and policy frameworks governing the extraction, production, distribution, and consumption of energy. The field aims to ensure energy security, promote sustainable development, and reduce environmental impacts by examining how government decisions concerning energy supply are formulated and enforced, and how rules and agreements facilitate access to energy for consumers.<br \/><\/span><br \/><span style=\"font-weight: 400\">The course covers topics such as energy regulation, the legal structure of energy, energy market liberalization, pressures arising from the energy transition, energy disputes and dispute resolution, and the influence of varying international environmental standards. Students will acquire specialized knowledge of global energy markets, regulations, and policies that are essential in today&#8217;s energy-dependent world, including insights into sustainable energy practices, climate change mitigation, and legal frameworks governing energy production and distribution.<br \/><\/span><br \/><\/b><\/li><li style=\"text-align: justify\"><b><b><b>Insurance Law (2 Credits)<br \/><span style=\"font-weight: 400\">The development of increasingly complex insurance regulations and contracts requires specialized knowledge to understand how insurance operates and the limits of its protection. The Insurance Law course provides an in-depth understanding of liability insurance, which provides indemnification to insured parties for their liabilities toward third parties and constitutes a significant part of the insurance market. The course covers law enforcement mechanisms, enforcement policies, and the challenges of addressing economic crime at both the national and international levels.<br \/><\/span><br \/><\/strong><\/li><li style=\"text-align: justify\"><strong>Arbitration and Alternative Dispute Resolutions (2 Credits)<br \/><span style=\"font-weight: 400\">This course explores the principles, concepts, and mechanisms of arbitration and various forms of alternative dispute resolution, including mediation, conciliation, and negotiation. Students will examine the legal foundations, procedures, and practical application of these mechanisms in resolving civil and commercial disputes outside the court system.<br \/><\/span><br \/><\/strong><\/li><li style=\"text-align: justify\"><b>Foreign Direct Investment Law (2 Credits)<br \/><span style=\"font-weight: 400\">This course examines the role of foreign direct investment (FDI) undertaken by multinational corporations in the economic growth and development of host countries, as well as the policy and regulatory issues arising from this role. The course begins by discussing the key features of FDI and the factors driving its expansion and likely to continue doing so in the future, particularly the role of multinational corporations from emerging markets and offshoring. It then assesses the role of FDI in trade and technology transfer.
